U.S. Securities and Exchange Commission (SEC) has published new guidelines related to tokenized stocks. These guidelines clarify that such securities are subject to existing securities and derivatives rules, regardless of whether they are recorded on a blockchain.

The Commission made a clear distinction between issuer-supported tokenized securities and third-party products. Issuer-supported products can represent actual ownership, while third-party products typically only offer synthetic exposure or custodial rights.

While regulators aim to limit the spread of synthetic equity products aimed at retail investors, they expressed their intent to promote issuer-approved and fully regulated tokenization structures.
