Questcorp Mining has completed its first phase investment.

Vancouver, British Columbia – Questcorp Mining Inc. (CSE: QQQ) (OTCQB: QQCMF) (FSE: D910) has completed a non-brokered private placement (“Offering”) on October 24, 2025. In the first phase, a total of 14,000,334 units were sold at a price of $0.15, resulting in a gross revenue of $2,100,050. Each unit consists of one common share and half of a warrant. Each warrant entitles the holder to purchase an additional common share at a price of $0.20 until October 24, 2027, and if the closing price of the shares remains at or above $0.50 for ten consecutive trading days, an early termination clause may occur.

A portion of the units issued in the first phase, valued at $2,000,000, is held under a sharing agreement (“Sharing Agreement”) with Sorbie Bornholm LP. Under this agreement, the invested funds are held in a third-party account. The Sharing Agreement provides for the determination of the company’s economic interest in twenty-four monthly payment intervals. Each payment interval, set at a total of $79,792, will be calculated based on the corresponding amount of the benchmark price.

On time payment, if the set price exceeds the $0.1949 benchmark price, the company may receive more than 100% of the total monthly payment. There is no upper limit on the additional income the company can receive. If the set price remains below the benchmark price, the company will receive less than 100% of its monthly payment. There will be no increase or decrease in the number of units. For example, the company’s monthly payment amounts based on specific set prices are as follows:

• Monthly Set Amount: $0.2449 – $100,262
• Monthly Set Amount: $0.1949 (Benchmark Price) – $79,792
• Monthly Set Amount: $0.1449 – $59,322
