Questcorp Mining has Completed Its First Phase Investment.

Vancouver, British Columbia – Questcorp Mining Inc. (CSE: QQQ) (OTCQB: QQCMF) (FSE: D910) has completed a non-brokered private placement ("Offering") on October 24, 2025. In the first phase, a total of 14,000,334 units were sold at a price of $0.15, resulting in gross proceeds of $2,100,050. Each unit consists of one common share and half a warrant. Each warrant grants the holder the right to purchase an additional common share at a price of $0.20 until October 24, 2027, and if the closing price of the shares remains at or above $0.50 for ten consecutive trading days, early termination may occur.

Some of the units issued in the first phase are valued at $2,000,000 and are held under a sharing agreement ("Sharing Agreement") with Sorbie Bornholm LP. Under this agreement, the invested funds are secured in a third-party account. The Sharing Agreement ensures that the company’s economic interests are determined over a twenty-four-month payment period. Each payment period is set at a total of $79,792 and will be calculated based on the determined benchmark price.

Upon payment, if the adjusted price exceeds the $0.1949 benchmark price, the company may receive more than 100% of the total payment for that month. There is no limit to the additional income the company can receive. If the adjusted price falls below the benchmark price, the company will receive less than 100% of its monthly payment. The number of units will not increase or decrease. For example, the monthly payment amounts the company will receive based on certain adjusted prices are as follows:

• Adjusted Monthly Amount: $0.2449 – $100,262
• Adjusted Monthly Amount: $0.1949 (Benchmark Price) – $79,792
• Adjusted Monthly Amount: $0.1449 – $59,322
