Important Approvals from the Competition Authority

The Competition Authority has granted approval for a series of acquisition and joint venture transactions. These approvals shed light on the restructuring of key players in the market.

Kestrel Aircraft’s Aircraft Acquisition

Accordingly, Kestrel Aircraft Funding Limited group’s JRQ 978 Ireland Limited, MSN 5099/5128 Spring Designated Activity Company, AWAS 35842 Trust, Wells Fargo Trust, and Kestrel Aviation Ireland No: 5 Limited have been permitted to sell a total of 5 aircraft to Castlelake, L.P.. One of these aircraft is registered in Turkey and has been leased to a third-party tenant.

Financial Restructurings

Additionally, the acquisition of Proteger Luxembourg S.a.r.l, jointly controlled by Cinven Capital Management (V) General Partner Limited and Alp Saul, along with its 100% subsidiary Proteger Investments S.a.r.l and Pronet Güvenlik Hizmetleri AŞ, has also been approved. This transaction will be carried out by Big Properties B.V..

Marcolin and Natura Cosmeticos Transactions

The acquisition of Marcolin S.p.A. by VSP Optical Group Inc. has also been approved. Additionally, the sole control of Natura & Co UK Holdings Limited, controlled by Natura Cosmeticos S.A., has been authorized for acquisition by Michael A. Reinstein through Avon International Limited.

Other Important Approvals

The Board has also approved the acquisition of a portion of the shares of Turkuaz Kimya ve Tarım Sanayi Ticaret AŞ by Vidara S.A.. Furthermore, through Whitecap Investments Pte. Ltd. and Robson Investments Pte. Ltd., controlled by Temasek Holdings (Private) Limited, the acquisition of shares in Luminace Holdings LLC, controlled by Brookfield Corporation (BROOKFIELD), resulting in joint control over LUMINACE has been approved.

Schneider Electric’s Strategic Entry

Finally, Schneider Electric SE has gained sole control over Crosser Technologies AB by acquiring all shares of its 100% subsidiary AVEVA Inc..
